These Terms and Conditions ("Terms") govern your access to the website at aceternity.com (the "Site") and any design, development, or related services (the "Services") provided by Aceternity Solutions Private Limited ("Aceternity," "we," "us," or "our"). By using the Site or purchasing Services, you agree to these Terms. If you do not agree, do not use the Site or Services.
1. Services
We provide custom website design, development, and related digital services as described in proposals, statements of work, or order confirmations you accept. Deliverables, timelines, and fees are as agreed in writing unless we state otherwise on the Site.
2. Accounts and eligibility
You must be at least 18 years old and able to enter a binding contract to use our Services. You are responsible for the accuracy of information you provide and for maintaining the confidentiality of any account credentials.
3. Fees and payment
Fees are due as set out in your agreement or invoice. Unless stated otherwise, amounts are in the currency specified on the invoice. Late payment may result in suspension of work or termination of Services. You are responsible for applicable taxes unless we agree otherwise in writing.
4. Intellectual property
Until you have paid in full for the agreed Services, we retain rights in our pre-existing materials, tools, and know-how. Upon full payment for deliverables explicitly included in your agreement, we grant you the rights to use those deliverables for your business as described in your contract. You warrant that content and assets you supply do not infringe third-party rights.
5. Client responsibilities
You agree to provide timely feedback, approvals, and materials we need to perform the Services. Delays on your side may affect timelines and may incur additional fees if we agree in writing.
6. Third-party services
We may use or recommend third-party hosting, analytics, payment, or other tools. Those services are subject to their own terms and privacy policies. We are not responsible for third-party outages or conduct beyond our reasonable control.
7. Disclaimer and limitation of liability
The Site and Services are provided "as is" to the fullest extent permitted by law. We do not guarantee uninterrupted or error-free operation of the Site or any third-party platform. To the maximum extent permitted by applicable law, we are not liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill. Our total liability arising out of or relating to these Terms or the Services is limited to the fees you paid us for the Services giving rise to the claim in the twelve (12) months before the claim arose.
8. Indemnity
You will defend and indemnify us against claims arising from your use of the Services, your content, or your violation of these Terms or applicable law, except to the extent caused by our gross negligence or willful misconduct.
9. Termination
Either party may terminate Services as set out in your agreement. We may suspend or terminate access to the Site or Services if you breach these Terms or if required by law. Provisions that by their nature should survive will survive termination.
10. Governing law
These Terms are governed by the laws applicable in India, without regard to conflict-of-law rules, unless mandatory consumer protections in your jurisdiction apply.
11. Changes
We may update these Terms from time to time. We will post the revised Terms on this page and update the "Last updated" date. Continued use of the Site or Services after changes constitutes acceptance of the revised Terms where permitted by law.
